1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and YYC Social ("Company," "we," "us," or "our") concerning your access to and use of our website (yycsocial.ca) and our social media management services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our services.
2. Services Description
YYC Social provides social media management services including but not limited to:
- Custom content creation (graphics and copywriting)
- Social media account management across multiple platforms
- Strategic planning and consulting
- Analytics and performance reporting
- Follower growth strategies
- Hashtag research and implementation
The specific services provided will be outlined in your service agreement or plan selection.
3. Account Registration and Access
To use our services, you must:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Grant us appropriate access to your social media accounts
- Notify us immediately of any unauthorized access
- Be at least 18 years of age or the age of majority in your jurisdiction
You are responsible for all activities that occur under your account and for maintaining the confidentiality of login credentials you provide to us.
4. Payment Terms
4.1 Fees and Billing
Service fees are outlined in your selected plan. Payment is due in advance on a monthly or annual basis as agreed. All fees are in Canadian Dollars (CAD) unless otherwise specified. You authorize us to charge your provided payment method for all applicable fees.
4.2 Automatic Renewal
Unless you cancel your subscription, it will automatically renew at the end of each billing period at the then-current rate. We will charge your payment method on file for the renewal.
4.3 Late Payments
If payment is not received by the due date, we reserve the right to suspend or terminate your service until payment is received. Late payments may result in service interruption.
4.4 Taxes
All fees are exclusive of applicable taxes (including GST/HST). You are responsible for all applicable taxes associated with your purchase.
5. Cancellation and Termination
5.1 Cancellation by Client
You may cancel your subscription at any time by providing 30 days written notice. Your service will remain active until the end of your current billing period. No refunds will be provided for partial months of service.
5.2 Termination by Company
We reserve the right to suspend or terminate your access to our services immediately, without notice, for any of the following reasons:
- Breach of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- Conduct that damages our reputation or business
- Violation of third-party rights or platform policies
5.3 Effect of Termination
Upon termination, your right to use the services will immediately cease. We will transfer control of your social media accounts back to you and remove our access. You remain responsible for all fees incurred before termination.
6. Intellectual Property Rights
6.1 Our Intellectual Property
All content, features, and functionality on our website and in our services (including text, graphics, logos, and software) are owned by YYC Social or our licensors and are protected by copyright, trademark, and other intellectual property laws.
6.2 Content Created for You
Custom content created specifically for your brand (including graphics, photos, and copy) becomes your property upon full payment of the associated fees. However, we retain the right to showcase this work in our portfolio and marketing materials unless otherwise agreed in writing.
6.3 Your Content
You retain all rights to content you provide to us (including logos, brand materials, and existing content). By providing content to us, you grant us a non-exclusive, worldwide licence to use, modify, and display such content solely for the purpose of providing services to you.
7. Client Responsibilities
You agree to:
- Provide timely feedback and approvals for content calendars
- Supply necessary brand materials and information
- Respond to our requests for information within reasonable timeframes
- Ensure all materials you provide do not infringe on third-party rights
- Comply with all applicable laws and regulations
- Maintain compliance with social media platform terms of service
- Not engage in fraudulent, abusive, or illegal activities
8. Third-Party Platforms
Our services involve managing your accounts on third-party social media platforms (Instagram, Facebook, LinkedIn, etc.). Your use of these platforms is subject to their respective terms of service and privacy policies. We are not responsible for changes to platform policies, algorithms, or features that may affect service delivery. Platform suspensions, bans, or restrictions are outside our control and do not entitle you to refunds.
9. Service Guarantees and Limitations
While we strive to deliver excellent results, we cannot guarantee specific outcomes such as:
- Specific follower growth numbers
- Viral content or posts
- Guaranteed engagement rates
- Direct sales or conversions from social media
- Platform algorithm favourability
Social media results depend on many factors including your industry, competition, budget, content quality, and platform algorithms, which are beyond our complete control.
10. Limitation of Liability
To the fullest extent permitted by law:
- YYC Social shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claim arising from these Terms or our services shall not exceed the amount you paid us in the 12 months preceding the claim
- We are not liable for service interruptions caused by third-party platforms, internet outages, or factors beyond our reasonable control
- We are not responsible for loss of data, loss of profits, or business interruption
Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless YYC Social, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) content you provide to us that infringes on third-party rights.
12. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of our business relationship. This includes but is not limited to business strategies, financial information, account credentials, and unreleased content. This obligation survives termination of services.
13. Dispute Resolution
13.1 Informal Resolution
In the event of any dispute, controversy, or claim arising from these Terms, the parties agree to first attempt to resolve the matter through good faith negotiations.
13.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
13.3 Jurisdiction
Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts located in Calgary, Alberta, and you consent to the jurisdiction of such courts.
14. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of our services.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any service agreement you enter into with us, constitute the entire agreement between you and YYC Social regarding the use of our services and supersede all prior agreements and understandings.
